Constitution Article I Name
The name of the society shall be the Mississippi Orthopaedic Society.
Article II
Object
The object of the Mississippi Orthopaedic Society shall be: To form a closer association of the orthopaedic surgeons of Mississippi for the advancement of the science of bone and joint surgery. It shall strive to maintain the character and standards of orthopaedic society as outlined by The American Academy of Orthopaedic Surgeons.
Article III
Membership
Section 1. The membership shall be divided into five classes:
1. Charter
2. Active
3. Honorary
4. Provisional
5. Emeritus
Charter Members
Section 2. Charter Members are those present at the original organizational meeting in 1958 or who were in active practice of orthopaedic surgery at the time.
Active Members
Section 3. Active Members shall be (1) the Charter Members of this Society and (2) graduates in medicine who are registered in the State of Mississippi and members in good standing of their County and State Medical Societies, who have completed an approved orthopaedic residency and shall actively limit his practice to orthopaedic Surgery prior to application for membership after May 6, 1979.
Honorary Members
Section 4. Honorary Members shall be those who have made an outstanding contribution to the advancement of the science and practice of orthopaedic surgery and are, or have been, actively engaged in the scientific development of the work. They shall not pay dues, nor shall they vote or hold office.
Provisional Members
Section 5. Provisional Members shall be those who have completed an orthopaedic surgery residency program which is approved by The American Board of Orthopaedic Surgery and who practice full-time orthopaedic surgery in the state of Mississippi. Provisional membership is effective for a period of four years. Provisional Members shall be voted on for Active Membership after being certified by the American Board of Orthopaedic Surgery.
Emeritus Members
Section 6. Emeritus Members shall be those who have previously been Active Members of the Society who have retired from practice. They shall enjoy the privileges of the Society, but shall neither pay dues nor hold office.
Article IV
Officers and Committees- Selection
Section 1. The officers of this Society shall be a President, Vice-President (president-elect), Secretary-Treasurer and Executive Committee Member (2).
Section 2. Officers shall be elected by a majority of the ballots cast at the annual meeting and shall serve for a period of one year, or until the next regular election thereafter except as otherwise stated.
Section 3. The Executive Committee shall be composed of the President, Vice-President, Secretary-Treasurer, Immediate Past President, Councilor to the American Academy of Orthopaedic Surgeons, and two elected Active Members, one to hold office one years and one to retire each year. The President shall be Chairman thereof. Any three, including the President, shall constitute a quorum.
Section 4. Vacancies occurring in any office of the Society shall be filled by action of the Executive Committee.
Section 5. A Nominating Committee shall be elected by the membership each year to propose a slate of officers for the Mississippi Orthopaedic Society. The Nominating Committee shall be made of three Past Presidents of the Society. A list of the Past Presidents shall be circulated at the time of the Annual Meeting to vote for members of the Nominating Committee, which will function for a period of one year. Vacancies in the Nominating Committee shall be filled by appointment of the President in office at the time the vacancy occurs. Nominations may be made from the floor in addition to the nominated slate proposed by the Nominating Committee.
Article V
Officers and Committees – Duties
Section 1. The President shall preside over the meetings of the Society; shall have power to call special meetings; and shall call special meetings at the request of the Executive Committee, or by written petition of at least one-third of the Active Membership.
Section 2. The President shall be Chairman of the Executive Committee.
Section 3. The Vice-President shall be the president-elect and shall ascend to office as President at the next regular annual meeting. He shall perform the duties of the President in his absence, or in the inability of the President to act, and shall perform all of the duties of the President had he been present.
Section 4. In the absence or inability of the President and the Vice-President to act, the Secretary-Treasurer, or Executive Committee Member may act.
Section 5. The Secretary-Treasurer shall take the minutes of the proceedings of the Society, and shall keep the minutes of the meetings of the Executive Committee; shall notify members of the committees of their appointments; shall keep a record of the members of the Society; shall notify all members of the time and place of meetings and of special business to be brought before the Society. As Treasurer, he shall receive all money due the Society and shall disburse it only upon written order of the President or Executive Committee. He shall make a report of the funds of the Society at each Annual Meeting. He will serve for a three-year term.
Section 6. The Executive Committee shall fix the time and place and make arrangements for the meetings of the Society. It shall be their duty to take into consideration and report for adoption such plans as shall best accomplish the objectives of the Society. It shall be their duty to execute such plans as shall be adopted by the Society, and they shall have the power to make draft upon the treasury for such funds as may be required. They shall have general supervision of the financial affairs of the Society. They shall have control of all property owned by or belonging to the Society. It shall be their duty to make a report at each meeting of the business transacted by them between meetings. They shall pass on all applications to the Society and determine the qualifications of members and have the power to suspend from the list any member, who in their opinion has been guilty of violation, in spirit or letter, of the code of ethics as adopted by the American Medical Association or the rules of this Society. This shall not deny the Member of the right to appeal before the business meeting. They shall audit the accounts of the Treasurer at the Annual Meeting or oftener if deemed advisable.
Article VI
Amendments
Amendments or changes to this Constitution may be made at any stated meeting of the Society at which a quorum is present by the concurrence of a two-thirds majority.

By-Laws
Article I
Application For Membership
Active Members Section 1. They shall make written application to the Secretary and enclose the sum of one year's dues. It must be signed by the applicant and endorsed by one or more active members in good standing and approved by the Executive Committee.
Section 2. Applicants for Active Membership shall be residents of Mississippi, who fulfill the requirements of Article III, Section 3 of the Constitution and Article I, Sections 4, 5, and 6 of the By-Laws.
Honorary Members
Section 3. They shall be elected to membership upon recommendation of Active Members in good standing and approved by the Executive Committee. They shall neither pay dues nor vote.
Section 4. Application for membership shall be in the hands of the Secretary before the meeting, at which time it is to be acted upon.
Section 5. Members shall be elected by the ballots of two-thirds of the members voting at any regular meeting.
Section 6. All communications received by the Executive Committee relative to the character and professional standing of the applicants shall be considered strictly confidential.
Provisional Membership
Section 7. A Provisional Membership shall be available to anyone who has completed an orthopaedic society residency program which is approved by the American Board of Orthopaedic Surgery and who practices full-time orthopaedic surgery in the State of Mississippi. The Provisional Members shall pay full dues, but shall have no voting privileges. Provisional Members shall be voted on for Active Membership after being certified by the American Board of Orthopaedic Surgery.

Section 8. They shall be those members who have previously been Active Members of the Society and have retired from practice. They shall enjoy the privileges of the Society, but shall neither pay dues nor hold office.
Article II
Membership
Section 1. All Active Members shall subscribe to this constitution at the time of their selection for membership. The annual dues for members shall be set by the members and payable in advance.
Section 2. Members in arrears for dues shall forfeit their privileges to vote or to hold office, as well as to receive any official publications of the Society. Members who are in arrears for dues for one year or more shall be notified thereof by the Treasurer by means of a return receipt registered letter. If the arrears are not paid within thirty days thereafter, the Treasurer shall cause the name of the member to be struck from the membership roll and report such action at the next regular business meeting of the Society.
Article III
Meetings Section 1. There shall be one regular Annual Meeting of the Society. The date and place of meeting to be selected by the Executive Committee.
Section 2. Election of officers shall be held at the Annual Meeting.
Section 3. Forty percent (40%) of the eligible voting members shall constitute a quorum for the transaction of business. At any meeting wherein a quorum of forty percent of the eligible members is not present, necessary business of the Society shall be conducted by the Executive Committee and such action of the Executive Committee shall be subject to ratification of the membership in a duly called or regularly scheduled membership meeting at which a quorum is present. Provided, however, if action taken by the Executive Committee is not expressly disapproved by the membership at a called or regular meeting at which time a quorum is present within 90 days from the time such action is taken by the Executive Committee, the action of the Executive Committee shall be deemed to have been ratified by the full membership provided notice of the necessary action taken by the Executive Committee is given in writing by United States Mail to each member of the Society at the address of record on the Society's membership roll and that such notice be given not more than 15 days after such necessary action is taken by the Executive Committee.
Section 4. A special meeting may be called by the Executive Committee or upon written petition of at least one-third of the Active Membership.
Section 5. Each active member may have the privileges of inviting one guest who is a physician in good standing of his respective County and State Medical Society.
Section 6. No limitations are imposed upon visiting out-of-state members of the American Board of Orthopaedic Surgeons.
